Terms of Service

1. Acceptance of Terms

By accessing or using any AutomateIQ services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Services

AutomateIQ provides AI automation solutions including, but not limited to, lead qualification agents, invoice processing automation, and AI-powered customer support chatbots. The specific scope, deliverables, and timelines for each engagement are defined in a separate Statement of Work (SOW) agreed upon before work commences.

3. Payment Terms

• Monthly subscription fees are billed in advance on the first of each month.
• One-time build fees (where applicable) are invoiced 50% upfront and 50% on delivery.
• Invoices are due within 14 days of issue. Late payments may incur a 1.5% monthly interest charge.

4. Intellectual Property

Upon full payment, clients receive full ownership of all custom-built automations and integrations developed for their account. AutomateIQ retains ownership of its underlying frameworks, libraries, and proprietary tooling.

5. Confidentiality

Both parties agree to keep confidential any proprietary business information disclosed during the engagement. This obligation survives termination of the agreement for a period of 3 years.

6. Limitation of Liability

AutomateIQ's total liability for any claim arising out of or relating to these terms shall not exceed the fees paid in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

7. Cancellation

Either party may terminate a monthly subscription with 30 days written notice. Project engagements may be cancelled subject to the terms in the applicable SOW.

8. Governing Law

These terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
